Referral Terms and Conditions

This Referral Agreement (hereinafter referred to as the 'Agreement') is a binding agreement between Tanta Innovative (hereinafter referred to as 'Tanta Innovative') and the individual or entity participating as a Referrer (hereinafter referred to as 'Referrer'). By participating in the Tanta Innovative Referral Program (hereinafter referred to as the 'Program'), you, the Referrer, affirm that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.

The Agreement outlines the terms under which the Referrer will participate in the Program designed to promote Tanta Innovative's services. It becomes effective upon your acceptance, which is indicated by clicking the 'I agree' button associated with this Agreement. Such acceptance represents your legal authority to enter into such agreements, acknowledging that you will adhere to these terms in good faith.

By entering into this Agreement, you confirm that you possess the legal capacity to be bound by it, and you acknowledge that you understand its provisions. The effectiveness of this Agreement is contingent upon your acceptance, and will commence on the date you agree to these terms ('Effective Date').

This section defines terms used throughout this Agreement:

• Acceptance: The act of the Referrer agreeing to participate in the Program.
• Agreement: This document, establishing the terms of the Referral Program.
• Contract Amount: Total payment from a Registered Customer to Tanta Innovative, excluding taxes, returns, and discounts.
• Effective Date: The date on which this agreement becomes effective, following the Referrer's Acceptance.
• Potential Registered Customer: A new client lead, introduced by the Referrer, who engages with Tanta Innovative.
• Program: The Referral Program as detailed in this Agreement.
• Referral Link: A unique URL provided to the Referrer for tracking referrals.
• Referral Fees: The compensation paid to the Referrer for successful referrals.
• Referral Form: An online form the Referrer must complete to participate in the Program.
• Referral Period: The time frame in which a referral is considered active and eligible for compensation.
• Referral Request: The act of using the Referral Link to submit a potential customer to Tanta Innovative.
• Referrer: An individual or entity that agrees to participate in the Referral Program under these terms.
• Registered Customer: A Potential Registered Customer who has entered into a contractual agreement with Tanta Innovative.
• Registered Opportunity: A referral that meets all program criteria and is approved by Tanta Innovative.

The Tanta Innovative Referral Program is designed to incentivize Referrers to introduce new clients, termed as 'Potential Registered Customers,' to Tanta Innovative's services. Referrers earn Referral Fees by successfully converting these introductions into registered clients who engage with our services.

Referrers are expected to use their best efforts to promote Tanta Innovative's services responsibly and ethically, ensuring that any promotional materials and communications are consistent with the program's guidelines, adhere to applicable marketing regulations, and respect privacy and data protection laws. Referrers should only target potential clients who have a genuine interest in Tanta Innovative's services.

The referral process is structured into three phases: (1) Submitting Referrals, (2) Referrals’ Assessment, and (3) Payment of Fees. Each phase is designed to ensure the integrity and effectiveness of the referral process.

Referrals must be submitted using the designated Referral Form provided by Tanta Innovative. This form requires the Referrer to input necessary personal information of the potential customer and obtain their consent for processing this data, in compliance with our privacy policies available at https://tantainnovatives.com/about-us/privacy-policy.

Upon successful submission, Referrers will receive a unique Referral Link which they can share with potential clients. This link directs the referred potential clients to a specific landing page where they can submit their details and signify their interest in Tanta Innovative's services. Each Referral Link is unique to each potential customer and can only be used once within the stipulated Referral Period.

It's crucial for Referrers to ensure that they have the appropriate consent from potential customers before sharing the Referral Link. Tanta Innovative reserves the right to limit the number of Referral Links a Referrer can generate and may invalidate or terminate any Referral Link at our discretion.

Referral Links are provided 'as is' with no warranties of any kind regarding their function or availability. Tanta Innovative will not be liable for any issues that arise due to lost or stolen links, nor for any unauthorized use of the Referral Links.

All referrals submitted through Tanta Innovative’s Referral Program are subject to a comprehensive assessment process to ensure that each potential registered customer meets the specific eligibility criteria required for participation. This assessment safeguards the integrity of the program and focuses resources on high-potential leads.

Eligibility Criteria:

• The Potential Registered Customer must express a genuine intention to purchase Tanta Innovative’s services, excluding any services not part of the referral program.
• The Potential Registered Customer must be registered within the designated territory covered by Tanta Innovative.
• A clear and actionable description of the services required by the Potential Registered Customer is necessary to estimate the potential value of the project.
• The Potential Registered Customer must actively engage and respond to Tanta Innovative’s outreach efforts, confirming their interest in proceeding with the services offered.

Non-Eligibility Criteria:

• Potential customers seeking services not offered by Tanta Innovative.
• Potential customers not legally registered as businesses where applicable, or those involved in industries Tanta Innovative does not support, such as adult content or drugs.
• Lack of authorization or non-responsiveness from the potential customer's decision-makers.
• Previous customers or those already in discussions with Tanta Innovative prior to the referral submission are not eligible as new leads.
• Use of a referral link by anyone other than the designated Potential Registered Customer, or use of the link outside the valid referral period.

Assessment Process:

• Upon submission, each referral is reviewed to verify that the provided information aligns with our eligibility criteria.
• Tanta Innovative reserves the right to contact the Potential Registered Customer directly to confirm their interest and validate the referral details.
• Referrers are required to facilitate communication between Tanta Innovative and the Potential Registered Customer if needed during the assessment phase.
• If a referral does not meet the eligibility criteria, or if any non-eligibility criteria apply, the referrer will be notified, and the referral will be rejected.
• Approved referrals will move forward to the payment phase, where referrers are eligible to receive fees based on the successful conversion of the referral into a Tanta Innovative customer.

Tanta Innovative maintains the discretion to modify the eligibility and non-eligibility criteria at any time to better align with the company’s strategic goals and market conditions. Referrers will be informed of any significant changes to these criteria.

Tanta Innovative offers generous rewards to Referrers for their efforts in bringing in new clients through the Referral Program. Below are the details of the compensation structure:

1. One-time Referral Fee for Registered Opportunities: Each Registered Opportunity that successfully converts into a client for Tanta Innovative will entitle the Referrer to a one-time fee of ₦20,000.00

2. One-time Referral Fee for Registered Customers: Upon a Registered Customer making a full payment for services, and provided the total contract amount meets or exceeds ₦5,600,000 NGN, the Referrer will receive an additional one-time fee of ₦480,000.00

Qualification Criteria:

• The Referrer must have submitted the Potential Registered Customer using the prescribed method.
• The Potential Registered Customer must be approved by Tanta Innovative as a Registered Opportunity.
• The potential Contract Amount with the Registered Opportunity must not be lower than 5,600,000 NGN.
• For Registered Customers, a contract must be executed and the services provided must be paid in full and on time.
• Referral Fees are payable only once per Registered Customer, contingent upon the contract being executed within the Referral Period defined at the start of the engagement.

Tanta Innovative will provide a written confirmation to the Referrer detailing the nature of the contract executed with the Registered Customer and the Referral Fee due. To receive any Referral Fees, Referrers are required to provide their banking details and maintain a valid bank account within the designated territories. Payments will be made via bank transfer or through PayPal, based on the preference indicated by the Referrer.

All Referral Fees mentioned are exclusive of taxes, and Tanta Innovative may withhold or charge taxes as required by law. Referrers are responsible for any banking fees associated with the transfer of Referral Fees and must ensure that their account information is accurate and up-to-date to avoid any payment delays.

Registered Customers, as a result of being referred, are entitled to a one-time 3% discount on the services provided, contingent upon the execution of the contract within the Referral Period.

Tanta Innovative reserves the right to modify the Referral Fees structure or update these terms at any time based on operational needs or changes in business strategy. Referrers will be notified of any such changes. Moreover, Tanta Innovative reserves the right to withhold or deduct payments if the Referral Fee was issued in error or in cases of fraudulent activities.

Referrers are prohibited from engaging in spamming activities, using misleading information, or violating legal standards. Tanta Innovative reserves the right to terminate the participation of any referrer who breaches these standards or engages in activities that are harmful to the reputation or operational integrity of Tanta Innovative.

Prohibited Activities:

• Misrepresentations: Referrers must accurately represent Tanta Innovative and the Referral Program. False claims or misrepresentations about the company, its services, or the potential benefits of the program are strictly prohibited.
• Spamming: Referrers must comply with all applicable spam laws, including CAN-SPAM, by not sending unsolicited bulk emails or messages. All communications should be targeted, appropriate, and legally compliant.
• Unauthorized Advertising: Use of paid advertising to promote Referral Links must receive prior written approval from Tanta Innovative. Referrers should avoid using paid ads that might compete with Tanta Innovative’s own marketing efforts.
• Prohibited Content: Sharing content that is offensive, illegal, discriminatory, or inappropriate through referral links is forbidden. This includes content promoting bigotry, hatred, illegal activities, or discrimination of any kind.
• Misuse of Intellectual Property: Referrers must not use Tanta Innovative’s trademarks, logos, or other intellectual properties without explicit written permission. This includes creating websites, domains, or social media handles that might imply a direct association or partnership with Tanta Innovative.

Tanta Innovative may, at its discretion, monitor the activities of referrers to ensure compliance with these guidelines. Failure to adhere to these rules may result in the suspension or termination of the referrer's participation in the Program, and forfeiture of any pending referral fees. Additionally, Tanta Innovative reserves the right to take legal action against any referrer whose actions result in harm to Tanta Innovative’s brand or financial standing.

Further Restrictions:

• Phishing and Fraud: Engaging in phishing, soliciting personal information under false pretenses, or any form of fraud is strictly prohibited and will result in immediate termination from the Program.
• Exploitation of Vulnerabilities: Referrers must not exploit any vulnerabilities in the system or manipulate the referral program for unfair advantage.
• Non-Compliance with Laws: Referrers must conduct all referral activities in accordance with applicable laws, including privacy laws and regulations. Non-compliance with legal standards can result in immediate termination from the Program and potential legal repercussions.

Referrers operate as independent contractors and are not considered employees of Tanta Innovative. As such, they hold no authority to act for or represent Tanta Innovative legally or contractually. This includes but is not limited to entering into agreements, making promises, or creating obligations on behalf of Tanta Innovative without explicit written authorization from the company.

This Agreement explicitly clarifies that no agency, partnership, joint venture, or employment relationship is intended or created between Tanta Innovative and the Referrer. As independent contractors, referrers are solely responsible for how they conduct their business, the methods they employ, and all operational decisions.

The Referrer shall not portray themselves as an agent or legal representative of Tanta Innovative nor imply such a relationship exists. The Referrer is responsible for all financial and other obligations incurred in the course of their business activities related to this program. This includes but is not limited to taxes, insurance, and expenses incurred from promoting Tanta Innovative’s services.

All responsibilities concerning the operation and management of the Referrer’s business activities, including compliance with all applicable laws and regulations, rest solely with the Referrer. Tanta Innovative is not liable for any debts, obligations, or other liabilities incurred by the Referrer. Similarly, Referrers are not entitled to any employment benefits, including insurance, retirement accounts, or worker's compensation from Tanta Innovative.

Referrers acknowledge that all intellectual property rights, including trademarks, logos, and service marks, as they relate to Tanta Innovative and its services, remain the sole property of Tanta Innovative. Referrers are granted a non-exclusive, non-transferable, revocable license to use branded materials solely for the purpose of promoting the services within the scope of the Referral Program.

Both parties recognize that this Agreement does not establish an exclusive partnership or agreement between them. Each party retains the right to engage with and recommend similar services or products offered by third parties. However, to safeguard Tanta Innovative’s business interests, specific restrictions apply to the Referrer once they introduce a Potential Registered Customer to Tanta Innovative.

Upon submitting a Potential Registered Customer, the Referrer agrees not to direct the same customer to any competitor of Tanta Innovative, nor will they assist or act on behalf of other parties to offer competing products or services to the Potential Registered Customer. This restriction is intended to prevent conflicts of interest and protect the business opportunities developed through the Referral Program.

Furthermore, Referrers are prohibited from entering into any agreements or business relationships that could prevent them from fulfilling their obligations under this Agreement or that might compel them to divert potential opportunities away from Tanta Innovative. This includes acting as a referrer or intermediary for other companies in a manner that conflicts with their responsibilities to Tanta Innovative.

This non-compete clause is designed to reasonably limit the Referrer’s activities in competing markets during their engagement with Tanta Innovative’s Referral Program to prevent any potential loss of business or dilution of service quality. It reflects a balance between protecting Tanta Innovative’s interests while allowing Referrers the flexibility to conduct their independent business activities.

The Referrer agrees to maintain the confidentiality of all non-public information related to Tanta Innovative's Referral Program. This includes, but is not limited to, the terms and conditions of the Program, operational details, and any proprietary information shared during the course of the Referrer's engagement with Tanta Innovative. Disclosure of such information is strictly limited to individuals or entities under a duty of confidentiality (such as legal or financial advisors) or as required by law.

Referrers must ensure that all use of information provided by Tanta Innovative complies with applicable legal standards and the provisions of this Agreement. The Referrer is responsible for implementing reasonable measures to safeguard such information and prevent unauthorized disclosure. This includes securing any digital or physical copies of information and limiting access to those directly involved in the Referral Program.

Furthermore, the Referrer is required to ensure that all activities conducted under this Agreement are in compliance with applicable laws, including but not limited to those relating to privacy, data protection, and the handling of confidential information. In the event of any legal request or compulsion to disclose confidential information, the Referrer is obligated to notify Tanta Innovative promptly, unless prohibited by law, to allow Tanta Innovative the opportunity to contest the disclosure or seek an appropriate protective order.

Tanta Innovative is not liable for any indirect, special, incidental, or consequential damages arising out of or in connection with the Referrer's participation in the Program. The total liability of Tanta Innovative under this Agreement shall not exceed the total Referral Fees paid or payable to the Referrer.

The Referrer agrees to indemnify, defend, and hold harmless Tanta Innovative and its officers, directors, employees, agents, and affiliates from any claims, damages, liabilities, costs, losses, and expenses (including attorneys' fees) arising out of or related to any breach of this Agreement or any actions taken by the Referrer in connection with the Program.

All notices, approvals, consents, and other communications required or permitted under this Agreement must be in writing to be considered valid. For communications by Tanta Innovative to the Referrer, notices may be given via email to the address specified by the Referrer upon their enrollment in the Program, or by posting on the Tanta Innovative website. It is the Referrer's responsibility to maintain an updated email address on file with Tanta Innovative and regularly check the website for updates.

For communications from the Referrer to Tanta Innovative, notices should be sent via email to hello@tantainnovatives.com. This email address will be used for receiving formal communications required under this Agreement. Referrers are advised to request confirmation of receipt to ensure their notice has been properly received by Tanta Innovative.

Any legally significant communication must explicitly state its purpose and the details required by the context of this Agreement. Tanta Innovative will acknowledge receipt of such communications within a reasonable timeframe, and provide any necessary responses or approvals as stipulated by the terms of this Agreement.

This Agreement and any disputes arising out of or related to the Referral Program or the terms of this Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without giving effect to its conflict of law principles. This choice of jurisdiction applies to all matters arising from or relating to this Agreement, regardless of the place of residency of the parties involved.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable. Tanta Innovative and the Referrer agree to replace any invalid or unenforceable provision with a valid and enforceable one that achieves, to the extent possible, the original objectives and intent as reflected in the original provision.

Tanta Innovative reserves the right to terminate the Referral Program or to modify these terms at any time, at its sole discretion. Changes will become effective upon notification to the Referrers or posting on the company’s website.
